Terms of Service
Last updated: 22 October 2026
1. Who you are dealing with
Xperters is a trading name of Mercle Ltd, registered in England and Wales, company number 12583440, registered office 20-22 Wenlock Road, London, N1 7GU. Every contract for services is with Mercle Ltd. In these terms, "we", "us" and "Xperters" mean Mercle Ltd trading as Xperters.
2. What we offer
We provide virtual assistants and engineers to small businesses, in three areas:
- Data entry and virtual assistant support: entering and organising information you supply, inbox and calendar management, document formatting, customer records, data cleansing and research, by a team that takes the time to understand your business. You explain your needs once: the people working on your business stay on it, and anyone new is briefed with a proper handover. We reply to enquiries within one working day.
- QuickBooks virtual assistants: day-to-day bookkeeping in QuickBooks, by a team that takes the time to understand your business.
- Cloud and DevOps engineering: engineering for Microsoft Azure environments, by a team that takes the time to understand how you work.
Every engagement starts with an introductory call. We do not publish prices and no proposal we send before that call is a quote. The scope, price and start date are agreed in writing after the call, and work does not begin until you have confirmed them.
3. What we do not do
- We do not give advice, analyse how your business is performing, provide tax services, or make financial judgements. Bookkeeping support is limited to recording and reconciling transactions on your instructions.
- Data entry work transfers and organises information you supply. It is not bookkeeping unless you have engaged the QuickBooks service.
- We do not make changes to production cloud systems, and we do not guarantee migration dates or cost savings, unless a signed engagement says otherwise.
- We do not send emails, make payments or take decisions on your behalf without an agreed written process.
4. Using the website
You must be at least 18 and acting for a business. You are responsible for keeping your sign-in details secure and for what is submitted from your account. Do not submit anything unlawful, anything you have no right to share, or special-category personal data (such as health information) in a request description.
We use Microsoft's Azure OpenAI Service to draft clarifying questions and a first proposal from what you tell us. AI-drafted text is reviewed by a person before it is sent, but it is a starting point for a conversation, not advice, and not an offer.
We may suspend or close an account that breaches these terms. You may close your account at any time by emailing hello@xperters.com.
5. How engagements work
Once agreed in writing, an engagement is governed by the client agreement and data processing agreement you sign, together with these terms. If they conflict, the signed agreement wins. The standard arrangement is:
- Access without password sharing. You give our assistant access to your systems by adding them as a user, and you can remove that access at any time.
- Billing monthly in advance for ongoing support, or on agreed milestones for one-off projects. Invoices are payable within 14 days.
- Ending an engagement. Either side may end ongoing support with 30 days' written notice. Work already paid for will be completed or refunded pro rata.
- Your data. You remain the owner and controller of your business data. We process it only on your instructions and delete or return it when the engagement ends.
6. Liability
We will do the work with reasonable skill and care. Our total liability to you under an engagement is limited to the fees you paid for that engagement in the 12 months before the claim arose. We are not liable for loss of profit, loss of business, or indirect loss. Nothing in these terms limits liability for death, personal injury, fraud, or anything else that cannot be limited by law.
Because we work inside your systems on your instructions, you are responsible for the accuracy of the information you give us, for keeping your own backups, and for any decisions you take based on the records we maintain.
7. Confidentiality
Each side keeps the other's confidential information confidential, during and after the engagement, except where disclosure is required by law. Our assistants and engineers sign confidentiality and non-solicitation agreements with us.
8. Intellectual property
You own the work product we create for you once it is paid for. We keep the right to use our own tools, templates and know-how. The content of this website is ours and may not be copied for commercial use.
9. Privacy
How we handle personal information is set out in our Privacy Policy, which forms part of these terms.
10. Changes and law
We may update these terms; the date at the top shows the current version, and material changes will be emailed to registered users. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
